bebankable.ca (the “Website”) is owned and operated by Bankable Ventures Alberta Ltd. (“Bankable,” “we,” “us,” or “our”), an Alberta corporation.

These Website Terms of Service (the “Terms”) govern your access to and use of the Website, including all content, features, tools, and services made available through it. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

These Terms apply to all visitors, users, and others who access the Website, whether or not they create an account, submit a form, or enter into any additional agreement with Bankable.

1. Additional Agreements

Certain features and services offered through the Website are governed by separate agreements that supplement these Terms. These include:

  • Privacy Policy: Governs the collection, use, and disclosure of your personal information.
  • BBX Community Terms and Conditions: Governs participation in the Bankable Business Exchange Community.
  • Lender Network Non-Disclosure Agreement: Governs confidentiality obligations for Lender Network applicants and members.
  • Network Participation and Acknowledgement Agreement: Governs participation in the Bankable Partner Network.

In the event of a conflict between these Terms and any additional agreement, the additional agreement will govern with respect to its specific subject matter. These Terms will continue to apply in all other respects.

2. Description of Services

Bankable operates the Bankable Business Exchange (“BBX”), a professional ecosystem that connects businesses seeking commercial financing with lenders, licensed brokers, and vetted professional advisors.

Through the Website, Bankable provides:

  • educational content, including articles, guides, and Lightning Lessons
  • intake forms for funding inquiries, community membership, and network applications
  • information about Bankable’s advisory services, including Funding Advisory, Scaleup Advisory, and Exit Advisory

3. Not Financial, Legal, or Professional Advice

The information provided on the Website, including all articles, guides, Lightning Lessons, blog posts, tools, and other content, is for general educational and informational purposes only.

Nothing on this Website constitutes, or is intended to constitute, financial advice, investment advice, legal advice, tax advice, accounting advice, or any other form of professional advice. You should not act or refrain from acting based on any information contained on this Website without first seeking qualified professional counsel appropriate to your specific circumstances.

Bankable is not a bank, a lender, a licensed securities dealer, or a registered financial advisor. Bankable does not lend money, underwrite loans, or make credit decisions.

4. No Guarantee of Funding or Services

Submission of a funding inquiry, application, or any other form through this Website does not constitute:

  • an offer or commitment by Bankable to provide financing
  • a guarantee that you will be matched with a lender, broker, or capital provider
  • a pre-approval, conditional approval, or approval of any kind
  • the formation of a contractual, advisory, or fiduciary relationship between you and Bankable

Bankable facilitates introductions and prepares lender-ready proposals on behalf of qualified applicants. The decision to extend financing rests solely with the lender or capital provider. Bankable makes no representations or warranties regarding the availability, terms, or likelihood of any financing arrangement.

5. Eligibility

The Website and its services are intended for use by businesses, business owners, and professionals. By using this Website, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

If you are using the Website on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

6. Accuracy of Information You Provide

BANKABLE DOES NOT WARRANT THAT:

  • THE CONTENT ON THE WEBSITE IS COMPLETE, ACCURATE, RELIABLE, OR CURRENT

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BANKABLE VENTURES ALBERTA LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF, OR INABILITY TO USE, THE WEBSITE
  • ANY CONTENT, INFORMATION, OR MATERIALS OBTAINED THROUGH THE WEBSITE

  • ANY FAILURE TO SECURE FINANCING OR ANY OUTCOME OF A FINANCING APPLICATION

IN NO EVENT SHALL BANKABLE’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Bankable Ventures Alberta Ltd., its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the Website
  • your violation of these Terms
  • your violation of any applicable law or regulation
  • any information you submit through the Website that is false, misleading, or incomplete
  • any claim by a third party arising from your use of the Website or the information you have provided

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website shall be resolved exclusively in the courts of the Province of Alberta, and you irrevocably submit to the jurisdiction of those courts.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the provision.

15. Waiver

The failure of Bankable to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Bankable.

16. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements referenced in Section 1, constitute the entire agreement between you and Bankable with respect to your use of the Website and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

17. Changes to These Terms

Bankable reserves the right to modify these Terms at any time. When changes are made, the “Last updated” date at the top of this page will be revised. Your continued use of the Website after any such changes constitutes your acceptance of the revised Terms.
